Terms of Service

These Terms of Service ("Terms") are a binding agreement between you (and, if you use the Service on behalf of an organisation, that organisation) and Codelogy Labs Pte. Ltd. (UEN 202618954W), a company incorporated in Singapore, trading as Fostery ("Fostery", "we", "us", "our").

They govern your access to and use of the Fostery platform at fostery.dev, the Fostery web dashboard, the Fostery Station software, and related services (together, the "Service").

By creating an account, installing the Station software, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

1. What Fostery is

Fostery is a software development orchestration platform. It coordinates AI coding agents through a structured software development lifecycle, with human approval gates and an audit trail. The platform consists of a cloud-hosted dashboard and orchestration layer, and a Station — software you install and run on your own machine that executes work locally.

Fostery does not supply AI compute and does not ingest or scan your codebase. You connect your own AI model provider, and your code is read and written only on your machine, flowing directly between your machine and your chosen provider. We coordinate the process; your machine and your provider do the work. The limited exception is that artifacts produced during bug investigation and fixing may contain code excerpts the agents quoted, which are stored as part of those artifacts. This is described further in Section 5 and in our Privacy Policy.

2. Definitions

  • "Station" — the Fostery software you install and run locally to execute orchestrated work.
  • "Build" — an orchestrated run of the development lifecycle against one of your apps.
  • "Artifact" — an output produced during a Build or bug investigation (for example a solution design, root-cause analysis, implementation guide, test report, or knowledge-base lesson).
  • "Local Code" — the source code, repositories, files, dependencies, and development assets stored on your local machine or systems and read or written by the Station locally.
  • "Hosted Content" — the content you submit to or that is stored in the cloud-hosted Service, including PRDs and bug reports, attachments, diagnostic logs, generated Artifacts, comments, and approvals.
  • "Your Content" — Local Code and Hosted Content collectively. Only Hosted Content is hosted, stored, or processed by us, except for the limited excerpts of Local Code that may appear inside Hosted Content or Artifacts.
  • "AI Provider" — the third-party or local AI model service you connect under the BYOM model (Section 5).
  • "BYOM" — "bring your own model".
  • "Platform IP" — the Service and its underlying software, including the orchestration logic, agent prompts, reference frameworks, and output templates, as described in Section 8.
  • "Usage Data" — data we generate or collect about how the Service is accessed and used, in aggregated, derived, or metric form, such as feature usage, build and bug counts, timing and performance metrics, error rates, and operational telemetry. Usage Data does not include the content of Your Content, your source code, or the substance of your Artifacts.

3. Eligibility and accounts

You must be at least 18 years old to use the Service. You are responsible for the accuracy of your registration information, for safeguarding your credentials, and for all activity under your account. Notify us promptly of any unauthorised use. Each Organisation's owner is responsible for the conduct of users they add.

4. Closed beta

The Service is currently offered as a closed beta. You acknowledge and agree that:

  • the Service is pre-release, is provided "as is" and "as available", and may contain bugs, errors, and incomplete features;
  • features may change, be added, or be removed at any time, and the Service or your access to it may be suspended or discontinued, with or without notice;
  • we make no service-level, uptime, or availability commitment during the beta;
  • you should not rely on the beta Service for production-critical work without your own independent safeguards and backups; and
  • if you provide feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback to improve the Service, without obligation to you.

Beta access is personal or organisation-specific and may not be transferred, resold, shared publicly, or made available to third parties without our written consent. While the Service is in closed beta, you may not publicly disclose non-public beta features, security details, or performance benchmarks of the Service without our prior written consent.

These beta terms apply in addition to the rest of these Terms and prevail over any inconsistent provision for as long as the Service is in beta.

5. Bring Your Own Model (BYOM)

The Service requires you to connect your own AI Provider account and credentials. You are solely responsible for:

  • obtaining and maintaining your own AI Provider account, API keys, or subscription;
  • all fees, usage costs, and rate limits charged by your AI Provider;
  • complying with your AI Provider's terms of service, usage policies, and acceptable-use rules; and
  • the security of the credentials you store in your Station.

Your interactions with your AI Provider are governed by your agreement with that provider, not by these Terms. We are not a party to that relationship, do not supply the AI compute, and are not responsible for your AI Provider's availability, output, pricing, or conduct. If your AI Provider suspends, rate-limits, or re-prices your account, that is between you and the provider; you may re-point the Station at a different provider.

5A. Station operation and your local environment

The Station runs on your own machine. As part of an orchestrated Build or bug investigation, it may read, write, create, modify, or delete files in the directories and projects you authorise, and may execute commands, run tests, install dependencies, access logs and development tools, and interact with the services you configure.

You are responsible for operating the Station safely. This includes limiting its access to appropriate directories and credentials, keeping the projects you point it at under version control, maintaining backups of important files, and reviewing proposed actions and changes before allowing them to take effect.

Fostery is not a backup, version-control, disaster-recovery, or deployment service. Before using the Station on any project, ensure that the project is under version control and that important files are backed up. You are solely responsible for reviewing all changes (including diffs) and for deciding whether to commit, merge, deploy, or otherwise rely on any change or output. We are not liable for loss of or damage to your code, files, data, or environment arising from your use of the Station or from changes you allow it to make.

6. The Station software licence

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to download and run the Station software on machines you control, solely to use the Service for your internal purposes.

You must not, and must not permit others to: copy, modify, distribute, sell, or sublicense the Station software; reverse engineer, decompile, disassemble, or attempt to derive its source code, prompts, frameworks, or templates, except to the extent this restriction is prohibited by law; circumvent or attempt to extract the reference frameworks, output templates, or prompts that are protected as Platform IP; or remove any proprietary notices. We may issue updates, and you agree to apply updates that we designate as required for continued use.

7. Acceptable use

You agree not to use the Service to:

  • violate any law, regulation, or third-party right, including intellectual property and privacy rights;
  • build, generate, improve, or deploy malware, credential theft, phishing, exploit code, ransomware, or unauthorised surveillance tools, or to facilitate unauthorised access to systems;
  • generate or process content that is unlawful, infringing, or that you do not have the rights to provide;
  • attempt to bypass or interfere with the Service's safety controls, usage limits, authentication, or access controls, or to overload or gain unauthorised access to the Service or its infrastructure;
  • reverse engineer, copy, extract, or replicate the Platform IP or any confidential, non-public features of the Service;
  • use the Service in life-critical, safety-critical, medical, emergency, infrastructure, or other high-risk systems without independent professional review and appropriate safeguards; or
  • upload secrets, API keys, passwords, private keys, production credentials, or regulated data unless you have the right to do so and have implemented appropriate controls.

You are responsible for ensuring you have all rights necessary to provide Your Content to the Service and to have it processed by your chosen AI Provider. Nothing in these Terms prevents you from independently developing your own products; this Section restricts only the copying or extraction of our protected Platform IP.

8. Intellectual property

Our IP. We and our licensors own all rights in the Service and the Platform IP, including the orchestration software, agent prompts, reference frameworks, and output templates. The reference frameworks and output templates are confidential and proprietary; they are delivered to your Station only in protected, server-injected form and are not licensed to you for any use outside operating the Service. Nothing in these Terms transfers ownership of the Platform IP to you.

Usage Data. We may collect and use Usage Data for our business purposes, including to operate, secure, monitor, and improve the Service, to understand how the Service is used, and to develop new features and offerings. To the extent Usage Data contains personal data, we handle it in accordance with our Privacy Policy. Where we use Usage Data to improve the Service or develop new features beyond providing the Service to you, we use it only in aggregated or de-identified form, and we never use it to reconstruct, expose, or train any model on Your Content or your Local Code.

Your IP. As between you and us, you own Your Content, including your Local Code and the substantive content of the Artifacts generated for you, subject to any third-party rights in the underlying AI models, their training data, or their outputs. We claim no ownership of Your Content. You acknowledge that Artifacts are generated by AI and may not be unique: the Service may produce the same or similar Artifacts for other customers, and we grant you no rights in Artifacts generated for others. Our ownership of the Platform IP — including the agent prompts, reference frameworks, and output templates that shape and structure the Artifacts — is not affected by your ownership of the Artifacts themselves (see "Our IP" above and Section 6). You grant us a limited licence to host, store, process, transmit, and display Hosted Content solely to operate and support the Service for you. This licence does not apply to your Local Code, except to the extent that limited excerpts of Local Code are included in Hosted Content or in Artifacts generated through your use of the Service. We do not use Your Content to train any AI model.

9. AI-generated output — no warranty of correctness

This is important. The Service uses AI agents to generate code, designs, analyses, and other outputs. AI-generated output may be incorrect, incomplete, insecure, non-functional, or unsuitable for your purpose, and may not be original.

You are solely responsible for reviewing, testing, validating, and deciding whether to use any output before relying on it or deploying it, including reviewing output for third-party rights, open-source licence obligations, security vulnerabilities, and suitability for your intended use. The human approval gates in the Service are tools to support your review; they do not transfer responsibility for the output to us. We do not warrant that any output is accurate, secure, fit for any purpose, non-infringing, or compliant with any law or standard. You assume all risk arising from your use of any output.

10. Fees and payment

During the closed beta, the Service may be provided without charge. We may introduce fees in future, with reasonable advance notice.

11. Confidentiality

Each party may receive confidential information of the other. Your Content is your confidential information; the Platform IP and non-public aspects of the Service are our confidential information. Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms, except where disclosure is required by law.

12. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, to protect the Service or other users, or if your continued use poses a security or legal risk. During the closed beta we may also suspend or end access for any reason. We may also terminate or deactivate a free-tier account that has been inactive for more than twelve (12) months, after attempting to notify you at your account email.

On termination, your right to use the Service and the Station software ends. We will make Hosted Content available for export for a reasonable period where practicable, after which we may delete it in accordance with our Privacy Policy. If your account is associated with an Organisation, the Organisation owner may control access to Hosted Content within that Organisation, invite or remove users, manage roles, and retain access to Organisation data after an individual user leaves. Sections that by their nature should survive termination (including Sections 5, 5A, 8, 9, 11, 13, 14, 15, and 18) survive.

13. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted or error-free operation. We do not warrant that the Service or any output will meet your requirements or be free of defects. This Section applies in addition to, and is reinforced by, Sections 4 and 9.

14. Limitation of liability

To the maximum extent permitted by law:

  • neither party is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service, even if advised of the possibility; and
  • our total aggregate liability arising out of or relating to the Service and these Terms will not exceed the total fees you paid us for the Service in the three (3) months immediately before the event giving rise to the claim.

We are not liable for any loss arising from AI-generated output, from your AI Provider, from your or your users' failure to review or test output, or from your use of the beta Service for production-critical work.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

15. Indemnity

You will indemnify and hold us harmless from claims, damages, losses, and reasonable costs (including legal fees) arising from: Your Content; your use of the Service; your breach of these Terms or of any law; your breach of your AI Provider's terms; or your deployment or use of any output generated through the Service.

16. Changes to the Service and these Terms

We may modify the Service and these Terms from time to time. For material changes to these Terms we will update the "Last updated" date and give reasonable notice through the Service or by email. Your continued use after a change takes effect means you accept the updated Terms. If you do not agree, you must stop using the Service.

17. Third-party services

The Service relies on third-party services including AWS, Stripe, and (optionally) Telegram, and on your chosen AI Provider. Your use of those services may be subject to their own terms. We are not responsible for third-party services and disclaim liability for their acts, omissions, availability, or content.

18. Governing law and disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts of Singapore for any dispute arising out of or relating to these Terms or the Service.

19. General

Entire agreement. These Terms, together with the Privacy Policy and any plan terms presented at purchase, are the entire agreement between you and us regarding the Service and supersede prior agreements on the subject.

Severability. If any provision is held unenforceable, the remaining provisions stay in effect and the unenforceable provision is modified to the minimum extent necessary.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.

Notices. We may give notices through the Service or to your account email. You may contact us at legal@fostery.dev.
